Alvante Ltd operates under multiple brands, trading names, domain names and online marketplace storefronts. All such brands and sales channels are owned and controlled by Alvante Ltd and all contracts are entered into with Alvante Ltd as the legal entity.

These Terms apply to all sales, including business-to-consumer and business-to-business transactions, unless a separate written agreement is in place.

All intellectual property rights in this website and its content are owned by or licensed to Alvante Ltd.

Customers are solely responsible for:

Customers confirm they do not rely on any statement, representation or advice other than as expressly set out in a written contract signed by Alvante Ltd.
5. Regulatory Responsibility
For cosmetic ingredients and raw materials, the customer or finished product brand owner is responsible for:
- cosmetic safety assessments
- claims substantiation
- labelling compliance
- appointment of the Responsible Person
- product notification and market compliance
For chemical products, customers are responsible for their obligations under REACH and CLP as downstream users.
6. Consumer Sales
Nothing in these Terms affects statutory consumer rights.
Consumers have the right to cancel distance contracts within 14 days in accordance with the Consumer Contracts Regulations, subject to hygiene and sealed goods exemptions.
Risk passes on delivery. Title passes when payment is received in full.
7. Business Customers
Trade accounts are subject to approval and may be withdrawn at any time.
Credit limits may be applied and varied at our discretion. We reserve the right to suspend supply where:
- credit limits are exceeded
- payment terms are not met
- there are reasonable concerns regarding financial standing
Interest and recovery costs may be charged on overdue amounts.
Personal data relating to trade accounts will be processed in accordance with our Privacy Policy.
8. Pricing
Prices may be varied at any time prior to order acceptance.
Where products depend on raw materials, energy, freight or currency markets, we reserve the right to adjust prices to reflect:
- increases in input costs
- supply chain disruption
- force majeure events
For contract or scheduled supply, price adjustment mechanisms may be applied.
9. Minimum Order Quantities and Carriage
Minimum order quantities may apply.
Carriage paid thresholds, where offered, apply only to mainland UK and may be withdrawn or amended.
10. Delivery and Incoterms
For international supply, delivery terms shall be interpreted in accordance with the Incoterms® in force at the date of the contract unless otherwise agreed in writing.
The customer is responsible for:
- import duties and taxes
- customs clearance
- local regulatory compliance
- foreign currency charges
11. Storage and Handling (B2B)
Once risk has passed, the customer is responsible for storing and handling products in accordance with:
- supplied technical documentation
- industry best practice
- applicable regulatory requirements
We accept no liability for deterioration, contamination, instability or performance issues caused by incorrect storage, handling or transport after delivery.
12. Sampling and Pre-Production Development
Samples are supplied for evaluation and testing purposes only.
Sample performance does not guarantee identical performance in full-scale production.
Pre-production, pilot batches and development work are chargeable unless otherwise agreed.
The customer is responsible for full validation prior to commercial manufacture.
13. Manufacturing Tolerances and Batch Variation
Due to the nature of raw materials and production processes:
- minor variations in colour, odour, viscosity or appearance may occur
- specifications may be updated as part of continuous improvement
Such variations do not constitute a defect.
14. Suspension and Termination
We may suspend or terminate supply where the customer:
- fails to make payment when due
- becomes insolvent
- breaches these Terms
15. Limitation of Liability
For business customers, our liability is limited to the value of the goods supplied.
We shall not be liable for:
- loss of profit
- loss of business
- product recall costs
- formulation failure
- third-party claims relating to finished goods
Nothing limits liability for death, personal injury or fraud.
16. Force Majeure
We shall not be liable for failure or delay caused by events beyond our reasonable control including:
- raw material shortages
- transport disruption
- energy supply issues
- pandemics
- acts of government
17. Regulatory Change
Where changes in law, regulation, safety requirements or industry standards affect:
- product composition
- labelling
- packaging
- transport
- supply
we reserve the right to:
- modify the product
- update specifications
- withdraw the product
without liability.
18. Retention of Title
Ownership of goods passes only when payment has been received in full.
19. Confidentiality
All commercial, technical and formulation information supplied is confidential and must not be disclosed to third parties.
20. Governing Law
These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
